IMPROVEMENT OF LEGAL MECHANISMS FOR THE REORGANIZATION OF LIMITED LIABILITY COMPANIES: ISSUES OF THEORY AND PRACTICE

This research provides a comprehensive analysis of the legal mechanisms of limited liability company (LLC) reorganization in the context of recent legislative developments in the Republic of Uzbekistan, in particular, Law No. ZRU-1025 of February 7, 2025. The study examines conflict-of-law provisions, procedural gaps, and practical issues arising in the implementation of various forms of reorganization. Special attention is given to the mechanism for protecting creditors’ rights, issues of succession, the formation of transfer deeds and separation balance sheets, as well as the liability of successors. Based on an analysis of the Civil Code of the Republic of Uzbekistan, the Law “On Limited Liability Companies,” judicial practice, and doctrinal sources, proposals are formulated to improve the legal regulation of the reorganization process.
